Version: FL-1.0 · Draft dated: October 20, 2026

Draft for Florida attorney review. The Driver Payment Schedule and Privacy Policy must be finalized and available before this agreement is activated for binding acceptance.
Return to registration

This Independent Driver Services Agreement ("Agreement") is between BX Digital, LLC, operating the b2bflit.com delivery platform ("Company," "BX Digital," or "b2bflit"), and the registering individual ("Driver"). It applies to delivery services performed in Florida and is intended to establish an independent-contractor relationship subject to federal and Florida law.

1. Nature of the Relationship

The Driver is engaged as an independent contractor, not as an employee, partner, joint venturer, or agent authorized to bind BX Digital. The Driver retains control over the lawful means and methods of performing accepted delivery assignments, may provide services to other businesses (including competitors), and receives no guarantee of minimum deliveries, hours, or earnings. Actual working practices and applicable law, not merely this label, determine legal classification.

2. Freedom to Accept or Reject Deliveries

The Driver decides when to activate On-Duty status and may accept or reject delivery offers. The Driver may end availability at their discretion, provided accepted deliveries are completed or properly reassigned. BX Digital may offer deliveries based on availability, proximity, merchant preferences, and other disclosed dispatch criteria. The Driver determines lawful routes and methods of completing accepted deliveries, subject to agreed pickup and delivery requirements.

3. Registration and Eligibility

The Driver must be at least 18, provide an accurate legal name, residential address, telephone number and identification, maintain any license required for the vehicle used, current registration, and required insurance, and provide a W-9 and other reasonably required eligibility documentation. BX Digital may verify these materials and suspend access when documents are missing, expired, inaccurate or insufficient. The Driver must promptly update changed information.

4. Vehicle and Operating Expenses

The Driver supplies and lawfully operates their own vehicle and pays ordinary operating expenses, including fuel, maintenance, repairs, registration, insurance, mobile devices and connectivity. The Driver chooses lawful routes and bears the opportunity for profit or loss. BX Digital does not provide or maintain the Driver’s vehicle. Only lawful, approved vehicle types may be used for applicable deliveries.

5. Mandatory Vehicle Insurance

Every Driver using a motor vehicle must maintain legally required insurance appropriate for paid delivery activities and confirm with the insurer that delivery use is permitted or covered. Personal auto policies may exclude deliveries for compensation. Proof of insurance must be provided when requested; lapses or material reductions must be promptly reported. Drivers may not perform deliveries without required coverage. BX Digital may suspend On-Duty access pending acceptable proof. This Agreement does not provide automobile insurance to the Driver or guarantee coverage of the Driver’s claims.

6. Responsibility for Motor Vehicle Accidents

The Driver is responsible for safe, lawful vehicle operation and, to the fullest extent permitted by law, for injuries, damages, losses, citations and claims attributable to the Driver’s negligent, reckless or unlawful operation. BX Digital does not own, maintain or physically operate the Driver’s vehicle. The parties do not intend BX Digital to be vicariously liable solely because the Driver independently accepts a delivery, except where law imposes liability. This provision does not release BX Digital from its own actionable conduct or limit rights of injured persons who are not parties to this Agreement.

7. Release of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, the Driver knowingly and voluntarily releases BX Digital, LLC, its members, managers, officers, employees and authorized representatives from claims belonging to the Driver for bodily injury, property damage or other losses arising from ordinary risks of the Driver’s independent vehicle operation and delivery activities. This release is intended to include claims based on BX Digital’s ordinary negligence to the extent Florida law permits such releases. It does not cover intentional misconduct, nonwaivable claims or protected statutory rights, and does not bind unrelated third parties.

8. Defense and Indemnification

To the fullest extent permitted by law, the Driver agrees to defend, indemnify and hold harmless BX Digital, LLC and its members, managers, officers, employees and authorized representatives against third-party claims, damages, judgments and reasonable legal expenses to the extent caused by the Driver’s negligent, reckless or unlawful conduct; negligent vehicle operation or maintenance; failure to maintain required insurance; theft, fraud or intentional misconduct; material breach of this Agreement; or negligent loss of or damage to merchandise. This includes covered claims alleging BX Digital is responsible for the Driver’s conduct to the extent attributable to the Driver. The Driver does not indemnify BX Digital for BX Digital’s own negligence or misconduct. The parties shall reasonably cooperate in handling claims, and no settlement obligation shall be imposed without a lawful contractual basis and appropriate notice. 8.5. PROTECTION OF PARTICIPATING MERCHANTS — FLIT_MERCHANT_PROTECTION_V2 To the fullest extent permitted by applicable law, the Driver agrees to defend, indemnify, and hold harmless participating merchants whose orders the Driver accepts for delivery, together with their respective owners, officers, employees, and authorized representatives, against third-party claims, damages, judgments, and reasonable legal expenses to the extent caused by the Driver's negligent, reckless, or unlawful vehicle operation, theft, fraud, intentional misconduct, negligent loss of merchandise, or material breach of delivery obligations. This protection does not require the Driver to indemnify any merchant for losses attributable to that merchant's own negligence or misconduct. Participating merchants are intended third-party beneficiaries of this Section 8 and may enforce its protections to the extent permitted by applicable law. Nothing in this section limits the rights of injured third parties or eliminates liability imposed by law.

9. Accident Notification

After an accident during an accepted delivery, the Driver must seek emergency assistance where needed, comply with applicable accident-reporting laws, notify the Driver’s insurer as required, and inform BX Digital as soon as reasonably practicable if an active delivery is affected. The Driver shall preserve relevant information and reasonably cooperate with lawful requests. BX Digital may document the incident, preserve records and arrange reassignment. Notification does not make BX Digital the Driver’s insurance adjuster or claims investigator.

10. Delivery Assignments

Offers will disclose available compensation and relevant pickup and destination information before acceptance. Acceptance creates an obligation to use reasonable care in completing that assignment. Drivers must not knowingly accept deliveries they cannot lawfully or practically perform, must report material problems or delays, and must complete accepted assignments or promptly request reassignment. False pickup or delivery confirmations are prohibited.

11. Food and Merchandise Transportation

Drivers transporting sealed restaurant orders are not authorized to prepare food, open sealed containers, alter contents or perform restaurant food-preparation functions. BX Digital does not impose a general food-handler permit requirement solely for transporting sealed restaurant orders unless law or a particular assignment requires additional credentials. Drivers must transport goods in a reasonably clean and safe manner, comply with applicable transportation laws, and must not consume, tamper with, substitute or intentionally damage merchandise or carry prohibited goods.

12. Lost, Stolen or Damaged Merchandise

The Driver must exercise reasonable care while merchandise is in their possession or control and promptly report missing, damaged, stolen or undeliverable goods. The Driver may be responsible for losses attributable to theft, intentional misconduct, negligence or material breach, subject to law. BX Digital may review delivery records, photographs, GPS and communications. BX Digital does not provide cargo insurance to the Driver. Liability for merchant or customer losses is governed by law and applicable agreements; this provision does not authorize unrestricted withholding of earned compensation or tips.

13. Delivery Compensation

Compensation for each assignment will be disclosed before acceptance and may vary according to distance, requirements and disclosed pricing. BX Digital will pay lawfully earned compensation for accepted assignments, without conditioning payment on prior collection from the merchant. Drivers will have access to records of completed deliveries, compensation, adjustments and payment status and may dispute payments through support. A separate Driver Payment Schedule stating payout frequency and methods must be disclosed, made available for retention and incorporated before the Driver accepts assignments. No arbitrary penalty or unauthorized deduction may be imposed on earned compensation.

14. Customer Tips

Tips designated for the Driver will be separately recorded from delivery compensation and will not be retained by BX Digital as platform revenue. Tips owed will be paid under the disclosed payment schedule and applicable law. Drivers will have itemized records of compensation and tips. Refunds, corrections and disputed transactions must be handled lawfully and transparently; earned tips may not be unlawfully confiscated or deducted.

15. Taxes and IRS Reporting

The Driver must provide accurate taxpayer information, including Form W-9 when applicable. Under the contemplated arrangement, BX Digital contracts for and pays the Driver’s delivery services and will fulfill applicable information-reporting and withholding obligations. For tax year 2026, the general Form 1099-NEC threshold for qualifying nonemployee compensation is $2,000, subject to exceptions and applicable payment-network rules. BX Digital will report qualifying payments and tips as required, keeping separate records. The Driver remains responsible for their own applicable income and self-employment taxes except obligations imposed on BX Digital by law. Current law controls if thresholds or requirements change.

16. GPS Location and Delivery Tracking

When the Driver is On Duty, b2bflit may collect location data reasonably needed for availability and dispatch. During accepted deliveries, location data may be used for routing, merchant and customer tracking, confirmation, safety and dispute resolution. Records may be retained for legitimate operational, security, accounting and legal purposes described in the Privacy Policy. Authorized merchant and customer tracking may show location during active deliveries. This provision does not authorize undisclosed collection unrelated to legitimate platform purposes.

17. Customer Information and Confidentiality

Customer names, addresses, telephone numbers, messages and delivery details may be used only for legitimate delivery purposes. Drivers may not sell, disclose, misuse or retain customer data for unauthorized purposes, contact customers for unrelated purposes, or circumvent authorized communication functions where reasonably available. Confidentiality obligations survive termination to the extent permitted by law.

18. Prohibited Conduct

Drivers must not drive while impaired; drive recklessly or unlawfully; engage in theft, fraud, harassment, threats, violence or unlawful discrimination; share accounts or credentials; falsify documents, locations, confirmations or photographs; tamper with food or merchandise; misuse customer information; deliver without required licenses or insurance; or claim authority to legally bind BX Digital.

19. Identity Verification and Background Screening

BX Digital may verify identity, license status, vehicle information, insurance and other relevant eligibility information. If third-party consumer reports or driving records are obtained through a consumer reporting agency, BX Digital will provide separate disclosures, obtain authorizations and follow applicable notice and adverse-action procedures as required by law. This Agreement alone is not a substitute for required background-check disclosures or authorization. Screening decisions must comply with applicable law.

20. Address and State-Specific Agreements

Drivers must maintain accurate residential street address, city, state and ZIP code. Before performing deliveries after relocating to another state, Drivers must update their address, complete required verification and affirmatively accept applicable new-state terms; On-Duty access may be suspended until these steps are completed. BX Digital will preserve historical acceptance records. Deliveries performed outside the state of residence must also satisfy laws where performed. ZIP codes alone are not conclusive where boundaries overlap or addresses conflict.

21. Account Access and Security

Each Driver must use their own approved account, safeguard credentials and promptly report suspected unauthorized access. BX Digital may restrict access to protect security or comply with law. Identity and eligibility remain subject to documented verification procedures.

22. Suspension and Termination

Drivers may stop accepting offers and request account closure. BX Digital may suspend or terminate access for material violations, fraud, unsafe conduct, expired credentials, insurance deficiencies or legal compliance reasons. Where practicable and legally appropriate, BX Digital will provide notice and an opportunity to dispute suspension. Suspension or termination does not eliminate lawfully earned compensation or tips or lawful obligations arising before termination.

23. Platform Availability

BX Digital does not guarantee uninterrupted access or continuous delivery opportunities. Maintenance, outages, network failures and third-party interruptions may affect the platform. This section does not excuse payment of earned compensation or exclude liability that law does not permit to be excluded.

24. Dispute Resolution

The parties may submit disputes through BX Digital’s designated support process and attempt good-faith informal resolution without forfeiting timely statutory rights. Florida law governs this Florida Agreement to the extent permitted by law, without overriding mandatory laws of another jurisdiction. Unless a separate enforceable dispute-resolution agreement is adopted, disputes may proceed in courts with lawful jurisdiction. This Agreement does not require arbitration, waive class-action rights or jury trial, or restrict contact with government agencies.

25. Changes to This Agreement

BX Digital may propose amendments with appropriate notice. Material changes will require affirmative acceptance where required by law or Company policy. Acceptance histories will be preserved. Amendments will not retroactively eliminate accrued payment rights or nonwaivable protections.

26. Electronic Records and Signatures

The parties consent to electronic records and signatures subject to applicable law. The complete Agreement must be reviewable and saveable or printable before acceptance. Acceptance requires an affirmative checkbox that is not preselected. BX Digital will record driver identity, state, agreement version, acceptance date and time, and relevant verification information and preserve a reproducible copy of the exact accepted agreement. Drivers may request a copy.

27. Entire Agreement and Severability

This Agreement, together with specifically incorporated Privacy Policy and Driver Payment Schedule made available before acceptance, governs the covered services. Unenforceable provisions may be limited or severed as permitted by law without invalidating the remainder. No provision waives nonwaivable legal rights or obligations.
